1. Introduction & Acceptance

Welcome to NanbanCRM ("we," "us," "our"), a SaaS CRM platform operated by [Your Company Legal Name], registered in India.

By accessing or using NanbanCRM (the "Service"), you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

Acceptance: By clicking "I Agree," creating an account, or using the Service, you form a legally binding contract with us under the Indian Contract Act, 1872.


2. Definitions

  • "Service": NanbanCRM platform, including web application, APIs, and related services
  • "User": Individual or entity using the Service
  • "Account": Your registered profile on NanbanCRM
  • "Content": Data, information, and materials uploaded by you
  • "Subscription": Paid plan for accessing premium features
  • "GST": Goods and Services Tax as per Indian law
  • "Personal Data": Information that identifies you as per Information Technology Act, 2000

3. Account Registration & Security

3.1 Eligibility

  • You must be at least 18 years old
  • You must provide accurate, complete information
  • You represent that you have authority to bind your organization (if applicable)
  • You must be legally capable of entering into binding contracts

3.2 Account Security

  • You are responsible for maintaining confidentiality of your credentials
  • You must use a strong, unique password
  • You must enable two-factor authentication when available
  • You must notify us immediately of any unauthorized access at support@nanbancrm.com
  • You are liable for all activities under your account

3.3 Prohibited Actions

  • Sharing credentials with unauthorized persons
  • Creating multiple accounts to abuse free trials or promotions
  • Using false identity, impersonation, or misleading information
  • Allowing minors to use your account
  • Transferring your account without our written consent

4. Acceptable Use Policy

You agree NOT to use the Service to:

Legal Compliance:

  • Violate any Indian laws, regulations, or court orders
  • Violate Information Technology Act, 2000 or related rules
  • Engage in activities that constitute criminal offenses

Security & Integrity:

  • Upload malicious code, viruses, worms, or harmful content
  • Attempt to breach security measures or access others' data
  • Interfere with or disrupt the Service or servers
  • Probe, scan, or test vulnerabilities without authorization
  • Reverse engineer, decompile, or extract source code

Prohibited Activities:

  • Send spam, unsolicited communications, or bulk messages
  • Engage in fraud, phishing, or deceptive practices
  • Harass, abuse, or harm other users
  • Infringe intellectual property rights
  • Resell or redistribute the Service without authorization
  • Scrape or harvest data using automated means
  • Use the Service for cryptocurrency mining
  • Store or transmit illegal, obscene, or defamatory content

Violation Consequences:

  • Immediate account suspension or termination
  • No refund of fees paid
  • Legal action if required
  • Reporting to law enforcement authorities

5. Subscription & Payments

5.1 Pricing

  • All prices are in Indian Rupees (INR)
  • Prices are exclusive of GST (18% applicable as per Indian law)
  • We reserve the right to change pricing with 30 days advance notice
  • Price changes do not affect existing subscription periods

5.2 Payment Terms

  • Payments processed securely via Razorpay (PCI-DSS compliant)
  • Subscriptions auto-renew unless cancelled before renewal date
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension after grace period
  • You are responsible for all applicable taxes except our income tax

5.3 GST Compliance

  • GST (18%) will be charged as per Indian GST law
  • Valid GST-compliant invoices provided for all transactions
  • You must provide accurate GSTIN if claiming input tax credit
  • Invoices available in your account dashboard
  • We are registered under GST and comply with all filing requirements

5.4 Payment Disputes

  • Notify us within 30 days of any billing errors
  • We will investigate and resolve disputes promptly
  • Disputed amounts remain due until resolved

6. Refund & Cancellation Policy

6.1 Cancellation

  • You may cancel your subscription anytime from account settings
  • Cancellation takes effect at the end of current billing period
  • You retain access until the end of paid period
  • No charges will be made after cancellation
  • You may reactivate at any time

6.2 Refunds

  • 7-day money-back guarantee for first-time paid subscribers
  • Refund requests must be submitted via support@nanbancrm.com
  • Refunds processed within 7-10 business days to original payment method
  • No partial refunds for unused time in billing period
  • Refunds subject to deduction of payment gateway charges (if applicable)

6.3 No Refund Conditions

  • Violation of Terms of Service
  • Abuse of refund policy (multiple refund requests)
  • After 7-day guarantee period expires
  • For add-on services or one-time purchases

6.4 Service Credits

  • In case of extended downtime, we may provide service credits
  • Credits applied to future billing, not cash refunds
  • Credits valid for 12 months from issuance

7. Intellectual Property Rights

7.1 Our Rights

  • NanbanCRM, logo, trademarks, and branding are our exclusive property
  • All software, code, design, and documentation are protected by copyright
  • You receive a limited, non-exclusive, non-transferable license to use the Service
  • License is revocable and terminates upon account termination
  • No rights are transferred except as explicitly stated in these Terms

7.2 Your Content

  • You retain full ownership of all content you upload ("Your Content")
  • You grant us a worldwide, non-exclusive license to:
    • Store, process, and display Your Content
    • Perform backups and ensure service functionality
    • Comply with legal obligations
  • This license terminates when you delete content or close your account

7.3 Your Responsibilities

  • You represent that you own or have rights to all uploaded content
  • You will not upload content that infringes third-party rights
  • You indemnify us against claims arising from Your Content
  • We may remove content that violates these Terms

7.4 Feedback

  • Any feedback, suggestions, or ideas you provide become our property
  • We may use feedback without compensation or attribution
  • You waive any rights to feedback provided

8. Data & Privacy

8.1 Data Protection

  • We comply with Information Technology Act, 2000 and IT Rules, 2011
  • Your data is stored securely on Supabase (ISO 27001, SOC 2 certified)
  • We implement industry-standard security measures:
    • Encryption in transit (TLS/SSL)
    • Encryption at rest
    • Regular security audits
    • Access controls and authentication

8.2 Data Usage

  • We use your data only to provide and improve the Service
  • We do not sell your personal data to third parties
  • We may share data with service providers (hosting, payment processing)
  • We may disclose data if required by law or court order

8.3 Data Retention

  • We retain your data while your account is active
  • After account deletion, data is retained for 30 days (recovery period)
  • Backups may retain data for up to 90 days
  • Legal or compliance requirements may extend retention

8.4 Your Rights

  • Access your data anytime from your account
  • Export your data in standard formats
  • Request data deletion (subject to legal obligations)
  • Opt-out of marketing communications

    • Indirect, incidental, or consequential damages
    • Lost profits, revenue, or business opportunities
    • Loss of data or business interruption
    • Third-party claims
    • Force majeure events

9.3 Disclaimer of Warranties

  • Service provided "AS IS" and "AS AVAILABLE" without warranties
  • We disclaim all warranties, express or implied, including:
    • Merchantability
    • Fitness for particular purpose
    • Non-infringement
    • Accuracy or reliability
  • We do not guarantee error-free or secure operation
  • You use the Service at your own risk

9.4 Limitations Apply

  • These limitations apply to the fullest extent permitted by Indian law
  • Some jurisdictions do not allow limitation of liability
  • In such cases, liability limited to minimum required by law

10. Indemnification

You agree to indemnify, defend, and hold harmless NanbanCRM, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees) arising from or related to:

  • Your violation of these Terms of Service
  • Your violation of any law, regulation, or third-party rights
  • Your Content or use of the Service
  • Your negligence or willful misconduct
  • Claims arising from your account activity
  • Unauthorized use of your account due to your failure to secure credentials
  • Your breach of any representation or warranty

Defense: We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

Cooperation: You will cooperate fully with us in the defense of any claim.

Survival: This indemnification obligation survives termination of these Terms.


11. Termination

11.1 Termination by You

  • You may terminate by cancelling your subscription from account settings
  • You may request account deletion via support@nanbancrm.com
  • Termination does not relieve you of payment obligations incurred

11.2 Termination by Us

  • We may terminate immediately for:
    • Material breach of these Terms
    • Violation of Acceptable Use Policy
    • Fraudulent or illegal activity
    • Non-payment after grace period
  • We may terminate with 30 days notice for:
    • Discontinuation of Service
    • Business reasons
    • Repeated minor violations

11.3 Suspension

  • We may suspend access without notice for:
    • Security threats
    • Suspected Terms violation
    • Investigation of complaints
    • Legal or regulatory requirements
  • Suspension does not waive termination rights

11.4 Effect of Termination

  • Immediate revocation of access to Service
  • Your data may be deleted after 30-day grace period
  • Outstanding fees remain due and payable
  • Provisions that should survive termination remain in effect:
    • Intellectual Property
    • Indemnification
    • Limitation of Liability
    • Dispute Resolution

11.5 Data Export

  • You may export your data before termination
  • After 30 days, we have no obligation to retain or provide data

12. Dispute Resolution

12.1 Governing Law

  • These Terms are governed by the laws of India

13. General Provisions

13.1 Changes to Terms

  • We may update these Terms at any time
  • Material changes will be notified via email and in-app notification
  • Continued use after changes constitutes acceptance
  • Material changes may require explicit re-acceptance
  • Previous versions available upon request

13.2 Severability

  • If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary
  • Other provisions remain in full force and effect
  • Invalid provisions do not affect validity of entire Terms

13.3 Entire Agreement

  • These Terms constitute the entire agreement between you and us
  • Supersedes all prior agreements, understandings, and communications
  • No oral modifications are valid

13.4 Assignment

  • You may not assign or transfer these Terms without our written consent
  • We may assign these Terms to affiliates or in connection with merger, acquisition, or sale
  • Assignment does not relieve us of obligations

13.5 Waiver

  • Our failure to enforce any right does not waive that right
  • Waiver of one breach does not waive subsequent breaches
  • Waivers must be in writing

13.6 Force Majeure

  • We are not liable for delays or failures due to circumstances beyond our control:
    • Natural disasters, pandemics, wars
    • Government actions, strikes, riots
    • Internet or telecommunications failures
    • Acts of terrorism or civil unrest

13.7 Notices

  • We will send notices to your registered email
  • Notices deemed received 24 hours after sending

13.8 Relationship

  • No partnership, joint venture, or employment relationship created
  • You are an independent user of the Service

13.9 Export Compliance

  • You will comply with all applicable export and import laws
  • You represent you are not in a restricted country or on restricted party list
